Dear Members,
for prudential reasons in order to minimize the risks associated with the dissemination of the COVID-19, FAI SERVICE S. Coop. has chosen, in accordance with current regulatory provisions, to provide that the participation of shareholders in the Shareholders’ Meeting can only take place by proxy or sub-delegation to the Designated Representative as per Art. 135-undecies of the Italian Legislative Decree no. 58 of 24/2/1998 (“TUF”). Spafid S.p.A. has been appointed as Designated Representative.
The foregoing, pursuant to art. 106 of Italian Decree-Law no. 18 of 17/03/2020, converted with amendments into Law no. 27 of 24 April 2020 and as last extended due to article 3 of Italian Decree-Law no. 228 of 30 December 2021, converted into Law no. 15 of 25 February 2022.
The Designated Representative (Spafid S.p.A.) may be granted proxies or sub-proxies according to the form available on the Company’s website https://www.faiservice.com/, in the “2022 General Meeting” section.
